David Wissbroecker: Principled Counsel, Strategic Insight, Governance with Purpose

Published on:

David Wissbroecker is an accomplished attorney, corporate governance advisor, and litigation strategist whose career has been built at the intersection of law, business, fiduciary responsibility, and organizational accountability. With more than two decades of legal experience, he has developed a sophisticated understanding of the challenges facing corporations, shareholders, executives, and boards of directors. His work encompasses securities litigation, stockholder derivative actions, mergers and acquisitions, corporate governance, antitrust matters, intellectual property disputes, and complex class actions. Throughout his career, David has combined rigorous legal analysis with practical judgment, giving him a perspective particularly relevant to organizations seeking thoughtful guidance on governance, risk, transactions, and responsible decision-making.

David’s professional foundation was established through a distinguished academic career. He earned his Bachelor of Arts in History and Art History, cum laude, from Arizona State University, where he was a Regent’s Scholar and earned Dean’s List recognition. He subsequently received his Juris Doctor, magna cum laude, from the University of Illinois College of Law in 2003. Graduating with a 3.685 GPA, David was recognized as a Harno Scholar for placing in the top ten percent of his class, an Abraham Lincoln Scholar, and a multiple-semester Dean’s List honoree. He also received CALI Awards for earning the highest grade in Antitrust and Art Law, early indicators of the analytical discipline and intellectual curiosity that would characterize his legal career.

Following law school, David entered public service within the United States Court of Appeals for the Seventh Circuit. He first served as a staff attorney and later as a judicial law clerk to the Honorable John L. Coffey. In these roles, he researched complex legal questions and drafted bench memoranda, orders, and judicial opinions across a broad spectrum of issues. The experience provided an invaluable view of judicial reasoning and reinforced the importance of precision, objectivity, persuasive writing, and disciplined evaluation of competing arguments. It also established a foundation for the courtroom advocacy, strategic analysis, and executive-level counsel that would define the next stages of his career.

David joined Robbins Geller Rudman & Dowd LLP in 2005 and ultimately rose to Equity Partner during a tenure spanning more than seventeen years. As a trial attorney focused on corporate fraud litigation, securities matters, derivative actions, and M&A class actions, he became deeply involved in cases where corporate conduct, shareholder interests, fiduciary responsibilities, and major business transactions converged. His responsibilities extended from investigating potential actions and drafting complaints to developing litigation strategies, managing discovery, conducting and defending depositions, and preparing and arguing significant motions. In M&A matters, he also handled motions for temporary restraining orders and preliminary injunctions, requiring the ability to evaluate high-stakes transactions under significant time pressure and communicate complex arguments persuasively.

His work at Robbins Geller also placed him at the center of sophisticated settlement processes and courtroom proceedings. David participated in mediations, negotiated within complex legal frameworks, and presented settlements for court approval. These experiences sharpened his ability to understand not only the technical requirements of corporate and securities law, but also the competing incentives and perspectives of shareholders, management teams, directors, counsel, and other stakeholders. His work earned professional recognition, including selection to Rising Stars in 2015, reflecting peer recognition and achievement in legal practice. He is admitted to practice in California, Illinois, and Oregon.

In January 2023, David joined Grant & Eisenhofer P.A. as Of Counsel in the firm’s Corporate Governance Litigation Chancery Group. During more than three years with the firm, he continued to deepen his experience in stockholder litigation and corporate governance. His work included investigating potential claims, preparing stockholder inspection demands and plenary complaints, analyzing statutes and case law, drafting and opposing motions, conducting discovery, taking and defending depositions, and participating in mediations and settlements. He also worked on settlement documentation, class notices, approval briefs, and distribution processes, further expanding his perspective on the full lifecycle of complex corporate disputes.

In July 2026, David joined Bottini & Bottini, Inc., where his practice encompasses securities, derivative, copyright and intellectual property infringement, antitrust, and M&A class action matters. His current work draws upon the breadth of a career devoted to understanding how legal standards, corporate conduct, transactions, and governance practices affect organizations and their stakeholders. From evaluating potential actions and advising clients to conducting legal research, drafting pleadings, overseeing discovery, and navigating settlement proceedings, he brings an experienced and methodical approach to matters in which the details can carry substantial strategic consequences.

David’s value in a board or advisory environment extends beyond litigation. Having spent his career examining corporate decisions through the lenses of governance, fiduciary responsibility, shareholder rights, regulatory requirements, and legal risk, he brings a distinctive perspective to boardroom conversations. He understands how decisions that appear sound in the moment may later be evaluated by shareholders, courts, regulators, and other stakeholders. This experience equips him to help directors think proactively about best practices, identify potential vulnerabilities, ask difficult but necessary questions, and distinguish between actions that merely satisfy immediate objectives and those that support responsible, defensible long-term governance.

His core areas of expertise include mergers and acquisitions, corporate governance, securities and business litigation, law, environmental matters, risk analysis, and strategic decision-making. David is open to serving organizations across a broad range of industries and company sizes, with particular interest in opportunities connected to environmental issues. His professional experience also includes international exposure to England and Spain, while his knowledge of French and German adds another dimension to his global outlook. Whether engaging with an emerging organization or an established enterprise, he approaches board service with the belief that effective governance depends on informed judgment, intellectual independence, accountability, and an appreciation for both opportunity and risk.

Communication has been central to David’s professional life. His career has required him to translate dense statutes, complicated factual records, evolving case law, and contested business issues into clear arguments for judges, clients, opposing counsel, mediators, and other decision-makers. His courtroom experience and presentations have strengthened his ability to communicate under pressure, while his work advising in matters involving boards of directors has given him insight into the importance of presenting sophisticated issues in a way that facilitates informed decisions. Rather than treating legal knowledge as an isolated specialty, David uses it as a framework for helping leaders understand consequences, alternatives, responsibilities, and paths forward.

David is actively pursuing board and advisory opportunities because he genuinely values the work of governance and believes his experience can make a meaningful contribution to directors and leadership teams. He particularly enjoys the opportunity to help boards navigate questions of what they should do, what they should avoid, and how they can establish practices that withstand scrutiny while serving the long-term interests of an organization and its stakeholders. He is prepared to dedicate meaningful time and attention to board responsibilities and views effective service as an active commitment rather than a ceremonial appointment. His objective is to contribute independent thinking, informed legal and governance insight, and a constructive perspective that strengthens the quality of board-level deliberation.

Beyond his legal career, David’s interests reveal a creative and reflective dimension that complements his analytical professional life. He is a poet and writer, plays guitar, and practices meditation. These pursuits reflect an appreciation for language, creativity, careful observation, and reflection—qualities that can be valuable in leadership environments where listening and perspective matter as much as technical expertise. His academic background in history and art history similarly speaks to an enduring interest in understanding ideas within their broader context and examining challenges from more than one point of view.

At this stage of his career, David offers boards a combination of seasoned legal judgment, governance knowledge, transactional awareness, courtroom-tested communication, and intellectual curiosity. His progression from the federal appellate courts to partnership in a major litigation practice and senior corporate governance work has given him the opportunity to observe consequential decision-making from multiple vantage points. He understands that strong boards must balance strategic ambition with fiduciary discipline, thoughtful oversight with management empowerment, and decisive action with careful consideration of consequences. David seeks to bring that balanced perspective to organizations that value independent thought, responsible governance, and durable long-term decision-making.

Strategic:
David has built his career evaluating complex situations in which legal exposure, business objectives, stakeholder interests, and timing must all be considered together. He brings boards an ability to anticipate potential consequences, challenge assumptions, identify vulnerabilities, and help frame decisions around responsible long-term outcomes.

Years of courtroom advocacy, legal writing, negotiations, mediations, depositions, and presentations have trained David to communicate complex ideas with clarity and purpose.
