Warner Uhl is an accomplished board director, C-suite executive, strategic advisor, and capital-project leader whose career spans more than three decades across mining, metals, construction, engineering, energy, and emerging technology. His professional journey has taken him from complex project and construction environments to executive leadership, corporate governance, investment strategy, and board advisory work. Throughout that progression, Warner has developed a reputation for bringing structure to complexity—combining technical understanding, commercial judgment, disciplined risk management, and practical execution to help organizations make better decisions and move ambitious initiatives forward.
Warner demonstrates a deep commitment to workplace safety, highlighted by more than 5 million man hours completed on the Mount Milligan project without a lost time injury. A Certified Safety Officer, he also serves as Deputy Chairman for the Canadian Institute of Mining Fatality Incident Reporting Initiative, contributing his experience and leadership to efforts focused on strengthening safety practices and preventing fatalities across the mining industry.
Warner’s leadership experience encompasses the full lifecycle of major industrial and resource projects, from early-stage evaluation, feasibility, and economic modeling through engineering, procurement, construction, commissioning, and operational deployment. His career has included responsibility for multibillion-dollar capital programs, large multidisciplinary teams, and projects involving copper, gold, nickel, lithium, iron ore, diamonds, oil and gas, and related infrastructure. At KGHM International, where he served as Chief Project Officer, Warner helped oversee approximately $1 billion in annual revenue and three major projects representing more than $8 billion in capital value. His responsibilities included executive oversight of major developments across the Americas, project governance, economic modeling, funding strategies, and the creation of enterprise-level project procedures.
Earlier in his career, Warner established a formidable record in project execution and organizational growth. As Project Director for the Mount Milligan copper-gold development in British Columbia, he directed EPCM activities for a 60,000-ton-per-day operation encompassing open-pit mining, processing, water treatment, tailings management, utilities, and infrastructure. He managed approximately 250 engineering personnel, 120 onsite staff, and a peak construction workforce of roughly 1,600 contractors. The work under his direction was completed on time and under budget while recording more than five million work hours without a lost-time accident—an achievement reflecting his commitment to disciplined execution, team leadership, safety, and accountability.
Warner has also demonstrated an ability to transform organizations commercially. While leading the Mining and Metals Division in Western Australia for Leighton Constructors, he helped increase divisional revenue from approximately $20 million to $2 billion within two years. His responsibilities included major contract strategy, workforce planning, EPC delivery, and execution of large resource infrastructure programs. He negotiated contracts exceeding $1.2 billion and helped rapidly mobilize the people and resources necessary for major mining developments. As an entrepreneur and business owner, he similarly grew Canadian Industrial Fabricators from approximately $400,000 in annual sales to nearly $20 million in two years, expanding facilities, production capacity, and workforce before the company was sold to support its continued growth.
His subsequent executive positions further broadened his perspective from project delivery to enterprise leadership. Warner served in senior management with Procon Mining & Tunnelling, where he held responsibility across estimating, project controls, procurement, quality, document control, and business development and contributed to doubling company revenue within a year. He later served as President and CEO of BMEX Gold, directing corporate strategy, investor engagement, exploration activities, and executive operations. At Worley, as Regional Director for Study Management in the Americas, he oversaw multidisciplinary teams supporting significant EPCM and EPC studies and developments involving major resource-sector organizations, applying trade-off analysis and project economics to improve capital decisions and development outcomes.
Today, Warner serves as President of Uhl Consulting Ltd., where he applies the lessons of large-scale industry leadership to companies navigating investment, development, commercialization, and growth. His advisory work encompasses technical and commercial due diligence, capital and operating cost reviews, schedule and constructability assessments, risk management, project alignment, investment readiness, and long-range business planning. This chapter of his career reflects a deliberate shift toward helping both established resource companies and high-growth enterprises benefit from the systems, discipline, and judgment developed through decades of executing complex projects.
Board governance and strategic advisory work have become increasingly central to Warner’s professional focus. As a Board Member and former Executive Chairman of Liberty Stream Infrastructure, previously associated with Volt Lithium, he has supported corporate growth, acquisition strategy, capital-market engagement, sustainability initiatives, technical evaluation, and shareholder-value considerations. His experience includes reviewing NI 43-101 technical reports, presenting strategic opportunities to investment groups, and supporting the acquisition and development strategies of resource-focused organizations. Warner has also advised corporate leadership on enterprise risk, including earlier work involving Directors and Officers liability and risk-transfer considerations.
Warner additionally provides board-level and technical guidance to emerging clean-technology and resource businesses. His advisory involvement has included SonoAsh, Hillcrest Energy Technologies, Coomtech Clean Technologies, Skylifter, and other developing enterprises pursuing technologies in areas such as mineral recovery, clean industrial processes, energy conversion, and heavy-lift logistics. In these environments, Warner brings a perspective shaped by decades of taking projects from concepts and studies into physical operations. He helps leadership teams examine whether promising technologies can be translated into viable commercial strategies, scalable operating models, credible capital plans, and executable projects.
Risk management is another defining element of Warner’s leadership philosophy. His qualifications include Certified Risk Manager training as well as Project Management Professional certification, complemented by education in business administration, mechanical engineering technology, and an MBA from City University. Rather than treating risk as a compliance exercise, Warner approaches it as an essential component of strategy and capital allocation. His experience evaluating project assumptions, construction approaches, schedules, operating costs, technical reports, and investment cases allows him to connect technical risk with financial and governance implications—an especially valuable perspective when boards are evaluating major investments or navigating uncertain development environments.
His international career has provided meaningful exposure to Canada, the United States, Australia, Argentina, Chile, and other markets connected to global resource development. Working across different regulatory, cultural, operational, and stakeholder environments has reinforced his belief that major projects succeed through more than engineering alone. They require alignment among investors, boards, executives, project teams, communities, Indigenous and First Nations stakeholders, contractors, regulators, and other participants. Warner’s ability to operate at the intersection of these groups has become an important part of his approach to governance and leadership.
Community involvement has also played a significant role in Warner’s professional life. His service has included leadership with the BC Children’s Hospital Foundation, where he chaired a construction committee and helped support fundraising efforts exceeding $5 million during his term. He has contributed to the Vancouver Regional Construction Association and the Construction Owners Association of Alberta, including work associated with construction practices and industry improvement. His involvement with Thompson Rivers University has supported fundraising for student bursaries, while his longstanding connection with Big Brothers Big Sisters reflects a personal commitment to mentorship and community development. These experiences complement a career built not simply around delivering projects, but around building organizations, developing people, and creating lasting value.
Warner’s professional interests now center on board and advisory opportunities where his combination of industrial experience, governance perspective, financial understanding, and execution discipline can have meaningful impact. He is particularly drawn to resource, mining, construction, infrastructure, engineering, clean-technology, and related organizations, including midsize and larger enterprises facing complex strategic or capital decisions. After spending more than 30 years leading major teams and projects, he sees board service as an opportunity to transfer that experience to leadership teams confronting the kinds of difficult decisions he has navigated throughout his career.
What Warner ultimately brings to the boardroom is perspective grounded in execution. He understands the difference between an attractive concept and an executable strategy, between a capital estimate and an investment case, and between identifying risk and managing it effectively. He has operated as an entrepreneur, project executive, corporate officer, CEO, board leader, consultant, and advisor, allowing him to view business challenges from multiple sides of the table. Whether assessing an acquisition, challenging project economics, strengthening governance, preparing an organization for investment, or helping executives resolve a complex development problem, his focus remains on practical solutions that create sustainable enterprise value.
Outside his professional commitments, Warner enjoys woodworking, golf, hockey, pickleball, and sailing. These interests reflect many of the qualities evident throughout his career: craftsmanship, preparation, teamwork, patience, adaptability, and an appreciation for continuous improvement. He also speaks German and brings an internationally informed outlook to his professional and personal relationships. As Warner continues expanding his contribution at the board level, his objective is straightforward—to put decades of accumulated experience to work helping organizations solve difficult problems, make sound decisions, develop strong teams, and move confidently toward their next stage of growth.
