Throughout his career, Richard has been recognized for his ability to navigate complex legal issues, providing strategic counsel to CEOs and boards of directors.
In his current position as Chief Legal Officer and Corporate Secretary at EDGIO, INC. (NASDAQ: EGIO), Richard manages legal, compliance, and risk management functions for a global media and security applications company. He provides strategic advice to the board of directors and senior leadership on corporate governance, deal structuring, and compliance. Richard oversees SEC reporting and successfully negotiated refinancing and amendments to credit facilities.
Prior to his role at EDGIO, Richard served as Executive Vice President, General Counsel, and Corporate Secretary at INTERNAP HOLDING LLC (formerly, INTERNAP CORPORATION (NASDAQ: INAP)). Here, he managed all legal, compliance, and risk management matters for an internet infrastructure company. Richard led the transition to private ownership and completed multiple asset sales and purchases. He oversaw SEC reporting and supported business teams in drafting and negotiating agreements.
Before his corporate roles, Richard practiced law as a Partner at DIEGNAN & BROPHY, LLC, Morristown, New Jersey, representing companies and individuals in various legal matters including corporate counseling, mergers, and acquisitions. He served as General Counsel for technology and telecommunications companies, handling corporate governance and financial matters.
Richard began his legal career as an Associate at MILBANK LLP, New York, New York, where he advised public and private companies on mergers and acquisitions, private equity investments, and credit agreements. He handled SEC filings and assisted in forming new corporate entities.
Richard holds a Juris Doctor from Seton Hall University School of Law, magna cum laude, a Master of Business Administration from Fairleigh Dickenson University, and a Bachelor of Science in Finance from Providence College, cum laude.
